By accessing or using the Vedex platform, including our website, dashboard, application programming interfaces ("APIs"), and any associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Service.
You represent and warrant that you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater. If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to "you" or "your" in these Terms shall refer to both you individually and the entity you represent.
Your continued use of the Service after any modifications to these Terms constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any changes. These Terms, together with our Privacy Policy and any order forms or subscription agreements you execute, constitute the entire agreement between you and Vedex with respect to your use of the Service.
Vedex is an alternative data vendor intelligence platform designed to help institutional investors, data teams, procurement professionals, and compliance officers discover, evaluate, compare, and monitor alternative data vendors and their products. The Service provides vendor search and discovery, side-by-side comparison tools, proprietary quality scoring, vendor certification and evidence registry, compliance tracking, knowledge graph exploration, AI-powered research tools, watchlists and alerts, procurement workflow support, and programmatic API access.
The Service aggregates, normalizes, and structures publicly available and independently collected information about alternative data vendors, their products, pricing models, data delivery mechanisms, compliance posture, and market positioning. Vedex does not sell, resell, redistribute, or sublicense the underlying datasets offered by the vendors catalogued on the platform. Access to any vendor's actual data products must be procured directly from the relevant vendor under that vendor's own terms and conditions.
Vedex maintains a proprietary certification framework (the Vedex Alternative Data Certification Standard, or "VADCS") through which vendors may voluntarily submit evidence of compliance with recognized data quality, governance, and regulatory standards. The presence or absence of certification information on the platform does not constitute a legal opinion, audit result, or regulatory endorsement. All certification materials are provided for informational and evaluative purposes only.
We may, at our sole discretion, modify, enhance, or discontinue any feature of the Service at any time. While we endeavor to maintain service continuity, we do not guarantee uninterrupted availability of any particular feature, dataset, or integration.
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times. Providing false, misleading, or outdated information constitutes a breach of these Terms and may result in immediate suspension or termination of your account.
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any API keys issued to you. You agree not to share your login credentials or API keys with any third party, and you accept full responsibility for all activity that occurs under your account, whether or not you have authorized such activity. You must immediately notify Vedex at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.
Vedex reserves the right to suspend or terminate any account that we reasonably believe is being used in violation of these Terms, is being shared among multiple individuals in a manner not permitted by your subscription tier, or poses a security risk to the platform or its users. We may also require additional identity verification or multi-factor authentication at any time to protect the integrity of your account and the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may access the Service solely for your own internal business evaluation, research, procurement, and compliance purposes, or as otherwise expressly permitted by your subscription agreement.
You shall not, directly or indirectly: (a) scrape, crawl, spider, harvest, or use any automated means to extract data from the Service beyond the scope of any API access expressly granted to you; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, scoring models, or proprietary methods underlying the Service; (c) use the Service to build or contribute to a competing product, database, or service; (d) access the Service through unauthorized API endpoints, exceed documented rate limits, or circumvent any technical restrictions or access controls; (e) misrepresent your identity, affiliation, or authority when using the Service or communicating with vendors through the platform.
You further agree not to: (a) upload, transmit, or distribute any content that is unlawful, defamatory, obscene, or otherwise objectionable; (b) interfere with, disrupt, or place an undue burden on the Service or its underlying infrastructure; (c) use the Service to send unsolicited communications, spam, or marketing messages to vendors or other users; (d) attempt to gain unauthorized access to other users' accounts, data, or any systems or networks connected to the Service.
Violations of this Acceptable Use policy may result in immediate suspension or termination of your account and access, without refund, and may give rise to legal action where applicable.
All content, materials, and technology provided through the Service — including but not limited to text, graphics, logos, icons, images, data compilations, software, scoring methodologies, the VADCS taxonomy and certification framework, knowledge graph structures, AI model outputs, and user interface designs — are the exclusive property of Vedex or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.
The Vedex name, logo, and all related product and service names, designs, and slogans are trademarks of Vedex. You may not use these marks without our prior written consent. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.
Your use of the Service does not grant you any ownership interest in or license to any intellectual property rights in the Service or its content, other than a limited, revocable, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms and your applicable subscription tier. Specifically, the proprietary scoring algorithms, vendor classification taxonomies, quality assessment methodologies, and data normalization techniques employed by Vedex constitute valuable trade secrets, and you agree not to attempt to reconstruct, replicate, or reverse-engineer such methods.
Any feedback, suggestions, or ideas you provide to Vedex regarding the Service shall become the sole and exclusive property of Vedex, and Vedex shall be free to use, reproduce, modify, and distribute such feedback for any purpose without compensation or attribution to you.
The information provided through the Service, including vendor profiles, quality scores, certification statuses, compliance indicators, coverage maps, pricing estimates, and knowledge graph relationships, is intended solely for research, evaluation, and internal business purposes. The Service is designed to assist you in making informed decisions about alternative data vendors and is not intended to replace your own independent due diligence, legal review, or professional advice.
Nothing on the Service constitutes investment advice, financial advice, legal advice, or a recommendation to purchase, sell, or enter into any transaction with any vendor or data provider. Vedex does not endorse or recommend any particular vendor, product, or service listed on the platform. All scores, rankings, and assessments reflect Vedex's proprietary methodology at a point in time and should not be relied upon as the sole basis for any business decision, investment decision, or regulatory determination.
Vedex makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, timeliness, or fitness for a particular purpose of any information provided through the Service. Vendor information is derived from publicly available sources, self-reported data, and independent research, and may contain errors, omissions, or outdated information. You acknowledge that the alternative data industry is rapidly evolving and that vendor capabilities, pricing, compliance posture, and data quality may change without notice.
You agree that your reliance on any information provided through the Service is at your sole risk, and Vedex shall have no liability for any decisions made or actions taken based on such information.
Vedex offers the Service through various subscription tiers, including a free tier with limited functionality and one or more paid tiers with enhanced features, higher usage limits, and additional capabilities. The specific features, limits, and pricing for each tier are described on our pricing page and may be updated from time to time.
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select at the time of purchase. All fees are quoted in United States dollars unless otherwise specified and are exclusive of applicable taxes, which you are responsible for paying. Payment is due upon invoice, and you authorize Vedex to charge your designated payment method for all applicable fees on a recurring basis until you cancel your subscription.
Vedex reserves the right to modify its pricing, subscription tiers, or fee structures at any time. We will provide at least thirty (30) days' prior written notice of any price increase, delivered via email to the address associated with your account or through a notice posted within the Service. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect; your cancellation will become effective at the end of your current billing period.
Refunds are generally not provided for partial billing periods, except where required by applicable law. If you believe you have been charged in error, you must contact [email protected] within thirty (30) days of the charge. Vedex reserves the right to offer promotional pricing, trial periods, or discounts at its sole discretion, and such offers may be subject to additional terms.
Subject to your compliance with these Terms and the documentation published at our API reference portal, Vedex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Vedex API solely for the purposes permitted by your subscription tier. API access is provided on an "as available" basis, and Vedex reserves the right to modify, throttle, or discontinue API endpoints at any time with or without prior notice.
Each subscription tier is subject to specific rate limits, daily or monthly request quotas, and concurrent connection caps, as documented in the API reference. You agree to abide by these limits and to implement appropriate caching, backoff, and retry logic in your client applications. If your usage consistently exceeds the limits associated with your tier, Vedex may throttle your access, require you to upgrade to a higher tier, or suspend your API credentials.
You may use API data within your own internal tools, dashboards, and reports. You must provide reasonable attribution to Vedex when displaying API-sourced data in any externally visible application, report, or publication. You shall not, under any circumstances, use the API to: (a) bulk download, mirror, or systematically redistribute Vedex data to third parties; (b) build a competing database, search engine, or vendor directory; (c) sell, sublicense, or otherwise commercially redistribute raw API responses without prior written authorization from Vedex.
Vedex may issue and revoke API keys at its discretion. You are responsible for safeguarding your API keys and must not embed them in publicly accessible repositories, client-side code, or shared environments. Compromised keys must be reported immediately to [email protected].
Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with the Service is governed by our Privacy Policy, which is available at vedex.io/privacy. By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described therein.
The Privacy Policy describes the types of personal information we collect (such as account registration data, usage analytics, device information, and communication records), the purposes for which we process that information, the legal bases for processing, your rights regarding your personal data, and the measures we take to protect your information. It also describes our use of cookies, analytics services, and third-party integrations.
If you are located in the European Economic Area, the United Kingdom, or another jurisdiction with applicable data protection laws, the Privacy Policy includes additional provisions addressing your rights under the General Data Protection Regulation (GDPR), the UK Data Protection Act, and similar legislation, including your rights to access, rectify, erase, restrict processing, port your data, and object to certain processing activities. We encourage you to review the Privacy Policy in full before using the Service.
The Service may contain hyperlinks, references, or integrations to websites, services, or resources operated by third parties, including but not limited to alternative data vendor websites, partner platforms, documentation portals, and social media channels. These third-party links are provided solely for your convenience and informational purposes.
Vedex does not endorse, sponsor, or assume any responsibility for the content, products, services, privacy practices, or policies of any third-party website or service. The inclusion of a link or reference on the Service does not imply any affiliation with, approval of, or recommendation of the linked entity. You access third-party websites and services at your own risk, and you should review the terms of use and privacy policies of any third-party site before providing personal information or entering into any transaction.
Vedex shall have no liability for any loss, damage, or harm arising from your interactions with third-party websites, services, or vendors, including but not limited to disputes over data quality, contractual terms, pricing, or service delivery. Any agreements, transactions, or dealings you enter into with third parties found through the Service are solely between you and the relevant third party.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VEDEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF VEDEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEDEX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO VEDEX DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU ARE USING THE SERVICE UNDER A FREE TIER AND HAVE NOT PAID ANY FEES, VEDEX'S MAXIMUM AGGREGATE LIABILITY SHALL BE LIMITED TO ONE HUNDRED UNITED STATES DOLLARS (US $100.00).
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VEDEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Vedex, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights; (d) any content, data, or materials you submit, post, or transmit through the Service.
Vedex reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Vedex in asserting any available defenses. You agree not to settle any claim that is subject to this indemnification provision without the prior written consent of Vedex. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
Your indemnification obligations under this section are not limited by any limitation of liability set forth in these Terms and shall apply to the fullest extent permitted by applicable law. If you are using the Service on behalf of an organization, both you personally and the organization shall be jointly and severally liable under this indemnification provision.
You may terminate your account and cease using the Service at any time by contacting [email protected] or using the account deletion functionality within the Service. Upon termination by you, your access to the Service will be revoked at the end of your current billing period, and you will not be entitled to a refund for any prepaid fees, except where required by applicable law.
Vedex reserves the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to: (a) violation of these Terms or any applicable policy; (b) conduct that we reasonably believe is harmful to other users, vendors, or the integrity of the Service; (c) extended periods of inactivity; (d) non-payment of fees; (e) a request by law enforcement or a government agency; (f) discontinuation or material modification of the Service. We will endeavor to provide reasonable notice before termination, except where we believe immediate action is necessary to protect the Service, its users, or third parties.
Upon termination, all rights and licenses granted to you under these Terms will immediately cease. You must immediately stop all use of the Service and delete any cached or stored data obtained from the Service, including API responses. We may, at our discretion, retain certain account information for legal, regulatory, audit, or legitimate business purposes as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Data Disclaimer, Limitation of Liability, Indemnification, and Governing Law — shall survive any termination or expiration of these Terms.
Vedex reserves the right to modify, amend, or update these Terms at any time in its sole discretion. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, we will provide at least thirty (30) days' advance notice through one or more of the following methods: a prominent notice within the Service, an email notification to the address associated with your account, or a banner or notification on our website.
Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the modified Terms, you must stop using the Service before the changes take effect and, if applicable, cancel your subscription. It is your responsibility to review these Terms periodically to stay informed of any changes.
For enterprise or custom subscription agreements, modifications to these general Terms will apply to the extent they do not conflict with the terms of your executed order form or master service agreement. In the event of a conflict between these Terms and an executed enterprise agreement, the enterprise agreement shall control. We maintain an archive of prior versions of these Terms, which is available upon request by contacting [email protected].
These Terms and any disputes arising out of or relating to these Terms, the Service, or your relationship with Vedex shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator selected in accordance with AAA rules. The seat of arbitration shall be Wilmington, Delaware, and the arbitration proceedings shall be conducted in the English language. The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing arbitration provision, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights. You agree that any such action may be brought in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction and venue of such courts.
YOU AND VEDEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
