TipRanks define Insiders as high-level executives, board members and 10% owners in a publicly traded company. When an insider adds or reduces the number of shares that they own in a company, they are required to report this to the SEC within 2 business days, by submitting a Form-4. TipRanks Insider Transaction Engine applies NLP and ML engines to extract the information from the SEC forms and analyze the essence of the events that have been reported, this data set covers over 7,500 companies in the US and ~23,000 companies globally, with 12 years of historical archive.
The SEC form can include many line items, some of which report actions made by insiders and some of which provide a status report on the number of shares held by the insider. Our engine unifies the line items in the SEC form into 1, 2, 3 or 4 transactions per form (~89% of forms have 1 transaction, ~10% of forms have 2 transactions, and ~1% of forms have 3 or 4 transactions). g.
